The key points
- Invoyes is a monthly subscription for businesses. The Pro Plan is CA$99.00 per month, billed in advance, after a 7-day free trial.
- We ask for a payment method when you start the trial, but we do not charge it until the trial ends. Cancel before then and you pay nothing.
- Invoyes is not a payment processor. Card payments from your customers are processed by the payment provider whose terminal you connect, under your own agreement with them.
- Your data is yours. We only use it to run the Service for you, and you can export it whenever you like.
- You are responsible for your tax settings, your prices, and how you handle your customers' information. We give you the tools; you run the store.
- These Terms are governed by the laws of British Columbia, Canada.

1.Your account
Invoyes is for businesses. To open an account you need to be at least 18 and have the authority to agree to these Terms on behalf of your business. Please give us accurate details and keep them up to date.
The person who creates an organization becomes its first administrator. Administrators can invite team members, give them roles and decide which parts of the Service each person can use. You are responsible for everything done through your organization’s accounts, including by your team and through any API keys you create. Keep passwords and API keys private, and tell us right away at support@invoyes.net if you think an account has been compromised.
2.The Service
Invoyes gives you a web dashboard, POS apps for desktop and mobile devices, and an API for managing products, inventory, customers, suppliers, orders, in-store sales, payments and reports. The features available are the ones described on our website at the time you use them. We add and improve features regularly, and occasionally retire one. If we retire something that materially changes how you work, we will give you reasonable notice first.
The Service needs an internet connection. The POS app keeps a copy of your product catalog on the device so browsing stays fast, but completing a sale requires a connection to our servers.
We work hard to keep Invoyes available around the clock, but we cannot promise it will never be interrupted. We may pause the Service for maintenance, security or legal reasons, and we try to schedule planned maintenance outside normal Canadian business hours.
3.Free trial, subscription and billing
Your free trial
New organizations get a 7-day free trial of the Pro Plan. To start it, you provide a valid payment method through our billing provider. We do not charge it during the trial. If you cancel before the trial ends, you owe nothing. If you do not cancel, your subscription starts automatically when the trial ends and the first month is charged.
What it costs
The Pro Plan is CA$99.00 per month in Canadian dollars, plus applicable taxes. It is billed in advance each month to the payment method on file. By subscribing, you authorize us and our billing provider to charge that payment method every billing period until you cancel.
If prices change
We may change our prices from time to time. We will tell you by email or in the dashboard at least 30 days before a change takes effect, and the new price applies from your next billing period after that notice. If you do not want to continue at the new price, cancel before it takes effect.
If a payment fails
If a payment fails, our billing provider retries it. If it stays unpaid, your organization’s access is suspended until payment goes through. Your data is kept during a suspension as described in section 10.
Cancelling and refunds
You can cancel at any time from Organization, then Billing in the dashboard, or by emailing support@invoyes.net. Cancellation takes effect at the end of your current billing period, and you keep access until then. Fees you have already paid are not refunded and we do not prorate partial months, unless the law requires otherwise or we decide to make an exception.
Taxes
Our prices exclude GST, HST, PST, QST and any other applicable taxes, which we add to your invoice based on your billing address.
4.Taking payments from your customers
Invoyes is software. It is not a bank, a money services business or a payment processor, and it never holds, transmits or settles your funds.
When you accept a card, the payment is processed by the payment provider whose terminal you connected to Invoyes. To use a terminal, you need your own merchant account with that provider and you must accept their agreement. That provider, not Invoyes, authorizes transactions, settles money to your bank account, sets processing fees, and handles chargebacks and disputes.
Invoyes sends the sale amount to your terminal and records the result the provider returns, which includes the card brand and last four digits but never the full card number, verification code or PIN. Card data is read and processed entirely on the provider’s PCI DSS compliant systems and does not pass through Invoyes.
You are responsible for the security of the terminals, devices and network in your store, and for meeting any PCI DSS requirements that apply to you as a merchant. If your payment provider is unavailable, card payments through Invoyes will be unavailable too; cash and other manually recorded payments continue to work.
Cash payments, cash drawer entries and manually recorded payments are records you enter. Invoyes reports on them but cannot verify them. Refunds and returns to your customers are your decision and your responsibility. When you refund a card payment through Invoyes, your payment provider carries out the refund under its terms.
5.Your data
Everything you and your team enter into Invoyes, including products, inventory, customers, orders, sales and the reports built from them, is yours. We call it “your data”. You give us permission to host, copy, process, transmit and display it only as needed to provide, secure and improve the Service, and as described in these Terms and our Privacy Policy. We do not sell it and we do not use it for advertising.
You are responsible for your data. In particular, you confirm that you have the right to collect and store any personal information about your customers and team that you enter, that you have given the notices and obtained the consents privacy law requires, and that you will respond to your customers’ requests about their information. If you need our help to respond, we will help.
You can export your data at any time from the dashboard or through the API. We may create aggregated, anonymized statistics about how the Service is used, which do not identify you, your team or your customers, and use them to run and improve Invoyes.
6.What you are responsible for
Invoyes is a tool. You remain in charge of your business, including:
- Tax settings. You set the tax rates and the tax status of each product. Invoyes calculates and shows tax based on your settings. Making sure those settings are right for your jurisdiction, and filing and remitting tax, is up to you.
- Prices, fees and receipts. The accuracy of your prices, deposits, environmental fees, discounts and everything printed on your receipts and invoices.
- Record keeping. Keeping the business records your jurisdiction requires. Export and back up your data regularly.
- Regulated products. Following the laws that apply to what you sell. If you use prescription label scanning, dispensing decisions, drug interaction checks, lot tracking and insurance claims remain with your pharmacy management system and your licensed staff.
- Hardware. Choosing, setting up and maintaining compatible devices, scanners, printers and terminals.
- Team access. Giving people appropriate roles and permissions, and removing access when someone leaves.
7.Acceptable use
Please do not, and do not let anyone else:
- use the Service for anything unlawful, or to sell goods or services that are illegal where you operate;
- use the Service to launder money, evade tax, or record transactions that did not happen;
- try to access the Service, other customers’ data or our systems without permission, or test their security without our written consent;
- interfere with the Service, for example by flooding the API with requests or introducing malicious code;
- copy, modify, reverse engineer or build derivative works of the Service, except where the law allows it;
- resell, sublicense or provide the Service to others, or use it to build a competing product;
- remove or hide any proprietary notices;
- share one login between several people, or create accounts by automated means.
If we reasonably believe this section has been violated, we may suspend or end access, and we will tell you why unless the law prevents us.
8.API and integrations
Administrators can create API keys with limited permissions to work with your data through the Invoyes API. You are responsible for whatever is done with your keys. Keep them secret, replace them if they are exposed, and revoke keys you no longer use. We may apply rate limits, and we will give reasonable notice before making changes that break existing integrations.
The Service works alongside third-party products such as payment terminals, identity providers and address lookup. Those products are provided under their owners’ terms. We are not responsible for them, and their availability may change.
9.Intellectual property
The Service, including its software, design, documentation and trademarks, belongs to Invoyes and its licensors and is protected by copyright, trademark and other laws. We give you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own business during your subscription, in line with these Terms. No other rights are granted.
If you send us ideas or feedback, you agree we can use them without owing you anything. We genuinely appreciate them.
10.Ending the agreement and what happens to your data
These Terms apply from the first time you use the Service until your subscription ends and your organization is deleted. You can stop using the Service and cancel at any time, as described in section 3.
We may suspend or end your access if you materially breach these Terms and do not fix the breach within 14 days of our notice, if your fees are unpaid, if the law requires it, or if we discontinue the Service altogether. If we discontinue the Service, we will give at least 60 days’ notice and refund any fees you prepaid for the period after it ends.
After your subscription ends, we keep your data for 90 days so you can come back or export it. After that we may permanently delete it, except for records the law requires us to keep. Please export anything you need before then.
Sections 5, 6, 9, 11, 12, 13, 14 and 15 continue to apply after the agreement ends.
11.What we do not promise
We provide the Service “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any promise that the Service will be uninterrupted, error-free or completely secure.
Invoyes does not give tax, accounting or legal advice. Tax calculations depend on the settings you configure, and reports are built from the data you enter. Please confirm any figure you rely on for a tax filing or a financial decision with a qualified professional.
12.Limits on our liability
To the fullest extent the law allows, Invoyes and its directors, employees and suppliers are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, arising from these Terms or the Service, however caused and under any legal theory, even if we were told such damages were possible.
Our total liability for all claims arising from these Terms or the Service in any 12-month period will not exceed the subscription fees you paid us in the 12 months before the event that gave rise to the claim.
Some jurisdictions do not allow certain limitations. Where that is the case, our liability is limited to the greatest extent the law permits. Nothing in these Terms limits liability that cannot legally be limited, including for fraud or wilful misconduct.
13.Indemnification
You agree to defend, indemnify and hold harmless Invoyes and its directors, employees and agents from any claim, loss, liability, cost or expense (including reasonable legal fees) that arises from your data, your customers’ transactions, your breach of these Terms, your violation of any law, or your infringement of anyone’s rights.
14.Governing law and disputes
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there, without regard to conflict of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
If we have a disagreement, please contact us first at support@invoyes.net and give us 30 days to try to sort it out informally. Most problems are solved this way. If we cannot resolve it, the courts of British Columbia have exclusive jurisdiction, and both of us agree to that. Either party may ask any court with jurisdiction for an injunction to protect its intellectual property or confidential information.
15.The general terms
- Changes to these Terms. We may update these Terms. We will post the new version here with a new “Last updated” date and, for material changes, notify account owners at least 30 days before they take effect. Continuing to use the Service after that date means you accept the updated Terms.
- Notices. We send notices to the email addresses of your organization’s administrators or show them in the dashboard. You can send notices to us at support@invoyes.net.
- Assignment. You may not transfer these Terms to someone else without our written consent. We may transfer them to an affiliate or as part of a merger, acquisition or sale of assets.
- Events beyond our control. Neither of us is liable for delays or failures caused by events outside our reasonable control, such as internet or utility outages, actions of third-party providers, labour disputes, government action or natural disasters.
- Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and us about the Service and replace any earlier agreements.
- Severability and waiver. If any part of these Terms cannot be enforced, the rest still applies. If we do not enforce a provision right away, we have not given up the right to enforce it later.
- Language. These Terms are written in English. The parties have expressly requested that this agreement and all related documents be drawn up in English. Les parties ont expressément demandé que cette convention et tous les documents connexes soient rédigés en anglais.
